A2X Partners Agreement - A2X

If you’re an accountant, bookkeeper, or other provider of professional advisory services to businesses, you are eligible to become a recognized “A2X Partner” and receive the benefits of the A2X Partner Program (the “Program”). By applying for registration into the Program, you are accepting and agreeing to the terms and conditions set out in this Partner Agreement (the “Partner Agreement”) and to the A2X Privacy Policy available at https://www.a2xaccounting.com/privacy (the “Privacy Policy”). Your active participation in the Program will require you to set up an account on the A2X website and agree to the A2X Terms of Use available at https://www.a2xaccounting.com/terms (the “Terms”).

Capitalized terms used but not defined in this Partner Agreement shall have the meanings given to them in the Terms. The Terms and the Privacy Policy are incorporated into this Partner Agreement by reference. 

If you are agreeing to this Partner Agreement not as an individual but on behalf of a company, organization, firm, partnership or other corporate entity, you hereby agree and acknowledge that you are binding such entity to this Partner Agreement and that you are fully authorized to do so.

Partnership Program Prerequisites

As a condition to being accepted to the Program, you must meet the following prerequisites (the “Partnership Prerequisites”):

• Be an Accountant /Bookkeeper / Integrator / Aggregator/ Advisory Firm who works with ecommerce clients.
• Complete the ‘Become a Partner’ application Form (on the A2X website).
• Have at least 1 staff member in your firm complete an introductory onboarding session (1 hour) with the A2X team.
• Have at least 1 staff member as your main point of contact, and provide A2X the updated name and email address of this main point of contact.
• Have at least 1 ecommerce client (or potential client) ready to connect to A2X or already connected to A2X.
• Agree to work with A2X and actively promote A2X to existing and potential clients.

A2X will determine whether you are accepted to the Program once it determines that the Partnership Prerequisites have been met. A2X reserves the right to accept or decline any organization or individual as an A2X Partner at its sole discretion, regardless of whether the Partnership Prerequisites have been met.

Ongoing Obligations

To maintain status as an A2X Partner, you agree to:

• Actively promote A2X to existing and potential clients consistent with your professional and ethical obligations.
• Ensure that at least one staff member remains up-to-date with A2X training.
• Act in good faith in the offering and use of A2X.
• Agree to and comply with the Partner Agreement, the Privacy Policy and the Terms.

A2X Accountant Directory

As an A2X Partner, you agree that A2X may choose to include you and/or your business in the A2X accountant directory (the “Accountant Directory”) at its discretion. 

Criteria to be listed in the Accountant Directory:

• You must be a bronze level A2X partner or higher as determined by the criteria available in the A2X Partner Program Guide.
• Ecommerce must be mentioned on your website (ecommerce landing page preferred).
• At least one current member from your firm must complete the  A2X certification course (all A2X users preferred).

Notwithstanding the above criteria, A2X reserves sole discretion to determine whether or not to list an A2X Partner or any other person in the Accountant Directory. A2X reserves the right to remove an A2X Partner or any other person from the Accountant Directory at any time at its sole discretion.

BY APPLYING TO THE PROGRAM, YOU HEREBY CONSENT TO A2X MAKING THE PUBLICLY AVAILABLE IN THE ACCOUNTANT DIRECTORY ALL INFORMATION YOU PROVIDE IN THE PARTNER PROGRAM APPLICATION FORM AS WELL AS ANY OTHER INFORMATION YOU UPLOAD TO YOUR LISTING.

You further acknowledge that users of the A2X services and Accountant Directory may leave reviews and ratings regarding your services on the Accountant Directory and that such reviews and ratings will be made available to the general public. You hereby waive all claims against A2X associated with your being listed on the Accountant Directory including with respect to any reviews that a third party may post on your Accountant Directory listing and you hereby consent to A2X’s making such third party reviews publicly available. 

Duration of the Partner Agreement

This Partner Agreement is effective immediately upon your being accepted into the Program by A2X, and remains in force for as long as you remain an A2X Partner in the Program.  

A2X may revoke your membership in the Program at any time at its sole discretion upon written notice from A2X to you via email at the email address A2X has on record.

You may elect to cease to be an A2X Partner by providing thirty (30) days’ written notice to A2X via email to contact@a2xaccounting.com (a “Partner Termination Notice”). Upon A2X’s receipt of a Partner Termination Notice, A2X may at its discretion elect to revoke your membership in the Program prior to the expiration of the thirty (30) day notice period. 

If this Partner Agreement is terminated or expires for any reason, you will no longer be able to participate in, or receive the benefits of, the Program.

For the avoidance of doubt, notwithstanding the termination or expiration of this Partner Agreement and/or your ceasing to be an A2X Partner in the Program, the Terms and the Privacy Policy,  will continue to apply to your use of the Services and the Website that A2X may make available to you.

The following sections of this Partner Agreement will survive any termination or expiration and/or your ceasing to be an A2X Partner in the Program: “Applicability of A2X’s Terms of Use”, “Relationship of Parties” and “Waiver of Claims & Indemnity”.

Applicability of A2X’s Terms of Use

This Partner Agreement applies in addition to, and should be read in conjunction with, the Terms and the Privacy Policy, each of  which is incorporated into this Partner Agreement by reference. 

The Terms and Privacy Policy apply to your entire dealings with A2X and use of the Services and the Website and the terms therein shall apply mutatis mutandis to your participation in the Program including, but not limited to, provisions regarding limitations on liability, indemnification, intellectual property, and governing law. 

You acknowledge and agree that all access (including by Invited Users) to A2X’s Services and Website will be subject to the Terms. In the event of any inconsistency between this Partner Agreement and the Terms or the Privacy Policy, the Terms and/or Privacy Policy will take priority.

Relationship of Parties

No agency, partnership, joint venture or employment is created between A2X and you as a result of this Partner Agreement. You are not authorized to create any obligation, express or implied, on behalf of A2X.

Waiver of Claims & Indemnity

To the fullest extent permitted by law, you hereby waive all claims you may have against A2X arising from your participation in the Program.

You agree to indemnify A2X against any and all claims, costs, damages and/or losses that A2X may sustain or incur as a result of any claim by a third party, including your clients and any A2X users, arising from: (a) your acts or omissions including, but not limited to, your provision of professional services, implementation support, or other products or services, (b) your breach of this Partner Agreement, or (c) your use of the Services.

Modifications of and Updates to the Partner Agreement

A2X may update or modify this Partner Agreement from time to time at its sole discretion. All updates and modifications to this Partner Agreement will be published on A2X’s website and will be effective upon posting to the website. Notice of material updates and material modifications to this Partner Agreement will be communicated to you through notification via the A2X Service or via email at your email address on record. If you do not agree to any of the updates or modifications to this Partner Agreement, you can revoke your membership in the Program by notifying A2X via email to contact@a2xaccounting.com. Failure to provide such notice will be deemed acceptance of any changes to the Partner Agreement.
